At GhostRez, we built professional ghostwriting tools to help qualified people get noticed. Welcome to GhostRez ("we," "us," or "our"). By accessing or using our website, mobile applications, professional ghostwriting tools (including resume positioning, strategic enhancement, cover letter generation, and other related features), and any other products, services, or functionalities provided by GhostRez (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use our Services.

We may modify these Terms at any time. Changes will be effective immediately upon posting on our website, and your continued use of our Services after the changes become effective will constitute your acceptance of the revised Terms. If you don't agree to the updated Terms, you must stop using the Services.

These Terms apply to all current and future features, products, or services introduced by GhostRez, unless otherwise stated in a separate agreement.

2.3 Unauthorized Access

You're solely responsible for all activities conducted under your account. We're not liable for any unauthorized use of your account due to your failure to safeguard your credentials. You agree to notify us immediately if you suspect any unauthorized access to your account.

2.4 Account Security

Use a strong, secure password and log out after each session. You assume full responsibility for any misuse of your account that occurs as a result of your negligence in maintaining proper security over your login credentials.

3.1 Nature of Generated Content

Our Services use technology to generate resume suggestions, cover letters, and other professional materials. Generated content is produced using AI technology and may contain inaccuracies or omissions. We don't guarantee the completeness, reliability, suitability, or accuracy of any generated output.

3.2 Verification of Content

You agree to review all generated content before using it for any purpose, including job applications. You acknowledge that you're solely responsible for the information you submit to employers and third parties. We're not liable for any employment decisions, missed opportunities, or other outcomes arising from the use of generated content.

3.3 No Employment Guarantee

Using our Services doesn't guarantee employment, interviews, job offers, or favorable outcomes. GhostRez provides tools to assist in professional document enhancement, but results depend on numerous factors beyond our control.

4.1 Prohibited Conduct

You agree not to:

• Use the Services for any unlawful, harmful, fraudulent, defamatory, harassing, or discriminatory purpose
• Provide false, misleading, or incomplete information in connection with your account, resume, or job applications
• Circumvent or interfere with the security, features, or operation of the Services, including attempts to access data or systems without authorization
• Engage in mass-application spamming, automated resume submissions, scraping of data, hacking attempts, denial-of-service attacks, or introduction of malware
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code or proprietary information from our technology or software
• Infringe upon GhostRez's or any third party's intellectual property or proprietary rights

4.2 Automation & Bots

Automated tools, bots, scripts, or similar methods to interact with the Services are strictly prohibited. Violations may result in immediate account termination.

4.3 Termination of Access

We reserve the right to suspend or terminate your account at any time and for any reason, including violations of these Terms. We may also cooperate with law enforcement regarding any unlawful activity on our platform.

5.1 Privacy Policy

By using our Services, you acknowledge that you have read and understood our Privacy Policy, which describes how we collect, use, and share your personal data. Our Privacy Policy is incorporated by reference into these Terms.

5.2 Data Accuracy

You're responsible for providing accurate, complete, and up-to-date information. We're not liable for consequences arising from the submission of inaccurate or incomplete data.

5.3 Third-Party Services

We may integrate with third-party service providers (like payment processors, hosting providers). While we take commercially reasonable steps to ensure the security of your data, we don't guarantee and aren't liable for any third-party actions or data breaches beyond our reasonable control.

5.4 No Absolute Security Guarantee

We use industry-standard security measures, but no transmission or storage system can be guaranteed to be completely secure. You use our Services at your own risk and acknowledge that we're not liable for unauthorized access, breaches, or misuse of your data.

6.1 GhostRez IP

All content, code, designs, trademarks, service marks, logos, proprietary algorithms, and other intellectual property (collectively "GhostRez IP") is owned or licensed by GhostRez. You're granted a limited, non-exclusive, revocable license to use the Services for personal, non-commercial purposes. No rights are granted to you beyond those explicitly stated.

6.2 User Content

You retain ownership of any original content (like your resume text) you upload. By submitting content, you grant GhostRez a worldwide, royalty-free, non-exclusive, irrevocable license to use, reproduce, modify, distribute, and create derivative works for the purpose of operating and improving our Services.

6.3 Generated Content

Generated content remains the intellectual property of GhostRez. You receive a limited license to use this content for personal, non-commercial purposes. Unauthorized use, reproduction, or distribution of generated content is prohibited.

6.4 Prohibited Activities

You may not copy, scrape, distribute, modify, or exploit any GhostRez IP or generated content without our prior written consent.

You agree to indemnify, defend, and hold harmless GhostRez and its affiliates, employees, officers, directors, agents, and licensors from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable law or regulation
• Any content you submit, including resumes or other materials that infringe on third-party rights or contain unlawful information
• Any employment-related claims arising from the use of generated or user-provided content

GhostRez reserves the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with any such defense.

To the fullest extent permitted by law:

• GhostRez won't be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses
• GhostRez's total cumulative liability won't exceed the total amount paid by you for the Services in the six (6) months preceding the claim, regardless of the cause or form of action
• GhostRez isn't liable for any claims arising from generated inaccuracies, omissions, or errors, nor for employment outcomes related to the use of our Services

The Services are provided on an "as-is" and "as-available" basis without any warranties, express or implied, including but not limited to warranties of accuracy, reliability, completeness, fitness for a particular purpose, or non-infringement. We don't guarantee that our Services or generated content will meet your expectations or achieve your desired results.

We may modify, suspend, or discontinue the Services at any time without prior notice or liability. You're responsible for backing up any necessary data. Upon termination, the rights and licenses granted to you under these Terms will immediately cease.

11.1 Binding Arbitration

All disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law. The arbitration shall be conducted in United States, New York, and governed by the Federal Arbitration Act.

11.2 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitration.

11.3 Exceptions

If arbitration is prohibited by law in your jurisdiction, disputes shall be resolved by the state or federal courts located in United States, New York.

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes not resolved through arbitration will be litigated exclusively in the courts located in New York, NY.

We reserve the right to modify these Terms at any time. Changes will be posted on our website. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms.

If any provision is deemed invalid or unenforceable, that provision will be severed without affecting the validity of the remaining provisions. Our failure to enforce any right or provision won't constitute a waiver of that right or provision.

These Terms, along with our Privacy Policy and any additional agreements or policies referenced herein, constitute the entire agreement between you and GhostRez regarding your use of the Services and supersede all prior agreements, communications, or understandings.

GhostRez won't be liable for any delays or failure to perform resulting from circumstances outside its reasonable control, including acts of God, natural disasters, war, terrorism, cyber-attacks, labor disputes, or governmental regulations.
